"Sigma" uses black raider methods to attack the cellular company "SMARTS". According to the head of the Sigma group, Pavel Svirsky, his company bought five ordinary shares of SMARTS CJSC from Marshall Capital Partners LLC. The transaction amount was not disclosed. At the same time, Sigma denies that they are participating in an attack on the mobile operator. “We have nothing to do with the corporate raid against SMARTS,” says Pavel Svirsky. “We are bona fide purchasers of SMARTS shares, we are interested in this asset as an investor, and we are going to increase our stake to close to a blocking one.” At the same time, Sigma does not argue that the group’s strategy is aimed at “receiving and resale of assets”, and does not exclude the possibility of resale of SMARTS shares.

As Kommersant has already reported, the corporate raid against SMARTS began at the end of September when, as a result of a civil process, transactions with the register and all shares of SMARTS were blocked. As soon as the result of the process was challenged by SMARTS in court, another process followed and another blocking of shares (see Kommersant of October 7). Experts then suggested that the purpose of the corporate raid against SMARTS was to reduce the value of the company and sell it to a specific participant in the telecommunications market.

According to lawyers, Sigma’s actions also fit into the logic of a corporate raid. “Sigma doesn’t actually need to increase its stake in SMARTS to a blocking one, it just needs to have this opportunity,” comments Valery Tutykhin, partner at the law firm John Tyner and Partners. “There is a risk associated with the fact that SMARTS shares could be bought by Sigma, enough to scare away all potential buyers from SMARTS."

“In this case, Sigma is clearly not a strategic investor, and the current acquisition of shares, as well as plans to increase the stake, demonstrate the group’s clear desire to make money on the resale of a profitable asset,” says Aton Investment Group analyst Alexey Yazykov. Let us recall that three companies have officially declared their interest in SMARTS - the Russian Alfa Group and VimpelCom, as well as the Swedish Tele2. However, all buyers were embarrassed by the high price of $1 billion set for SMARTS by its owners. All of them said yesterday that they no longer have clear plans to purchase SMARTS.

However, SMARTS claims that they knew nothing about the sale of five shares of the company. Lawyers note that SMARTS found itself in a very difficult situation, having fallen into a legal trap: the company will have to challenge the shareholder deal with one company, while the other will be considered a bona fide purchaser of shares. “SMARTS will have to first challenge the deal between Andrei Skvortsov and Marshall Capital Partners LLC, and then demand termination of the deal between the said LLC and the Sigma group,” explains Valery Tutykhin. “The first process will require at least six months and is unlikely to end successfully - processes during which "The company's shareholders had very little success in returning their shares if they were transferred to the 'hijackers.' In April 2004, Sigma acquired debt obligations from Unilever for a total amount of $7 million, for which Labinsky MEZ OJSC and the owner of the plant, Russian Grocery Company, were jointly and severally liable. After lengthy legal proceedings, the enterprise also turned out to be under the control of Rusagro. Subsequently, the main brand of Russian Grocery, the Zlato brand, which accounted for more than 7% of the vegetable oil market in the Russian Federation, also passed to Rusagro.
